The Live Models – Terms of Service (TOS)

    1. Definitions

    1.1 "Platform" means the online service branded The Live Models (TLM), accessible through web and mobile interfaces, offering Users the ability to Chat, Watch, Meet, and Travel with other users and creators. 
    1.2 "User" means any individual who accesses or uses the Platform, including Viewers and Creators. 
    1.3 "Viewer" means a User who primarily consumes User-Generated Content (UGC), purchases Tokens, or books features. 
    1.4 "Creator" means a User who uploads UGC, hosts Live Streams, or offers “Meet” or “Travel” features subject to these Terms. 
    1.5 "Tokens/Credits" or "Tokens" mean limited, revocable, digital access credits within the Platform, stored in the Wallet, that may be used for booking or requesting services inside TLM. Tokens are not legal tender, not e-money, not securities, and non-refundable except where legally required. 
    1.6 "Wallet" means the digital account feature provided within the Platform for holding and managing Tokens. 
    1.7 "Booking/Request" means the process of submitting a Token-based request to a Creator for a Live Stream, Meet, or Travel feature. 
    1.8 "Meet Feature" means an optional function allowing lawful social meet-up requests between Users and Creators (e.g., attending public events, coffee, content collaborations). 
    1.9 "Travel Feature" means an optional function allowing Users to request or plan travel-related social experiences with Creators, at their sole discretion. 
    1.10 "UGC" or "User-Generated Content" means any text, images, video, audio, livestreams, or other content uploaded or made available by Users. 
    1.11 "Third-Party Services" means any external service (e.g., payment processor, hosting provider, travel booking tool) that may be linked or integrated. 
    1.12 "High-Risk Content" means content involving nudity, adult themes, controversial material, or otherwise subject to stricter moderation. 
    1.13 "Prohibited Jurisdictions" means regions where the Platform, or particular features such as “Meet” or “Travel,” are legally restricted. 
    1.14 "KYC/KYV" means “Know Your Customer” or “Know Your Viewer/Creator” verification requirements, which may include age verification, ID checks, and fraud prevention measures. 



    1. Acceptance; Updates

    2.1 Binding Agreement. By accessing or using the Platform, you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform. 

    2.2 Age Gate. Access to the Platform is limited to Users who are at least 18 years old

    2.3 Versioning. TLM may update these Terms from time to time. Updated Terms will be effective upon posting, and continued use constitutes acceptance. 

    2.4 Notice of Changes. Users will be notified of material changes through Platform notices or email. 



    1. Eligibility, Age & Identity

    3.1 Minimum Age. The Platform is strictly for individuals aged 18 years or older

    3.2 Verification for Creators. Any User uploading content or offering paid features must pass identity verification and age checks (including government-issued ID and selfie/bio check). 

    3.3 False Claims. Providing false age or identity details may result in immediate termination and reporting to authorities. 

    3.4 Account Restrictions. Users in Prohibited Jurisdictions may not access restricted features. 



    1. Nature of Service & Role of TLM

    4.1 Neutral UGC Host. TLM is a neutral online discovery and content-hosting platform. 

    4.2 No Employment. Creators are independent individuals, not employees, contractors, partners, or agents of TLM. 

    4.3 No Escorting or Brokering. TLM does not facilitate or arrange escort services, prostitution, or any sexual services. 

    4.4 No Monitoring Obligation. TLM is not required to monitor UGC, but may do so at its discretion. 

    4.5 Moderation Rights. TLM reserves the right to remove content, restrict features, or suspend accounts at its sole discretion to comply with law or protect the community. 



    1. Tokens/Credits & Wallet

    5.1 Nature. Tokens are revocable, limited, platform-only credits with no cash value. 

    5.2 License. Users receive a limited, personal, non-transferable, non-sublicensable license to use Tokens inside the Platform. 

    5.3 No Redemption. Tokens are not redeemable for cash or transferable outside TLM. 

    5.4 No Refunds. Except where legally required, Tokens are non-refundable. Refunds apply only for proven platform-side failures. 

    5.5 Prohibited Use. Users may not resell, barter, or exchange Tokens outside the Platform. 

    5.6 Wallet Safety. Users are responsible for securing their Wallet access credentials. 



    1. Meet & Travel Features

    6.1 Scope. 

    • Meet: Token-based requests for lawful social meet-ups (e.g., coffee, attending a concert, content collaboration). 
    • Travel: Token-based requests for planning itineraries or creators traveling at their discretion. 

    6.2 Neutral Role. TLM is not a party to any offline arrangements. Users and Creators act independently. 

    6.3 No Guarantee. TLM does not guarantee attendance, travel, or outcome. Tokens spent are not refundable for off-platform experiences. 

    6.4 Explicit Ban. The Platform may not be used to arrange or pay for sexual services or illegal activities. Any attempt will result in immediate termination. 

    6.5 Jurisdiction Controls. TLM may restrict or disable “Meet/Travel” by geolocation or self-declaration. 

    6.6 Safety Notice. Offline interactions are at your own risk. TLM does not perform background checks or provide security services. 



    1. User Conduct & Prohibited Uses

    7.1 Illegal Content. Users may not upload, request, or promote child sexual abuse material (CSAM), non-consensual content, trafficking, or solicitation of sex services. 

    7.2 Harmful Conduct. No violence, threats, terrorism, hate content, scams, or fraud. 

    7.3 Privacy Violations. No doxing, stalking, or dissemination of private information. 

    7.4 Tech Misuse. No malware, scraping, or circumvention of security controls. 

    7.5 Coded Workarounds. Attempting to bypass bans (e.g., using coded terms for prohibited conduct) is prohibited. 



    1. User-Generated Content (UGC) & Licenses

    8.1 Ownership. Users retain ownership of intellectual property rights in the content they create and upload (“User-Generated Content” or “UGC”). 

    8.2 License to TLM. By submitting UGC, Users grant TLM a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, reproduce, adapt, distribute, publicly display, and promote such UGC solely for the operation of the Platform. 

    8.3 Promotional Rights. TLM may use screenshots, thumbnails, or previews of UGC for platform discovery features, marketing, or category listings without additional consent. 

    8.4 No Obligation to Monitor. TLM has no obligation to monitor UGC but may remove or restrict content at its discretion for safety, compliance, or reputational reasons. 

    8.5 Notice-and-Action. Users may flag UGC believed to be unlawful or harmful. TLM will act in accordance with safe-harbor frameworks (e.g., DMCA, GDPR/DSA). 

    8.6 Repeat Infringers. Users repeatedly uploading infringing or prohibited content may have accounts suspended or terminated. 



    1. Copyright (DMCA) Policy

    9.1 Compliance. TLM complies with the U.S. Digital Millennium Copyright Act (DMCA §512) and equivalent international standards. 

    9.2 Takedown Requests. Copyright owners may submit notices to legal@thelivemodels.com. Notices must include statutory elements (identification of work, infringing material, good-faith statement, signature). 

    9.3 Counter-Notices. If a User believes removal was in error, they may submit a counter-notice. 

    9.4 Repeat Infringers. Accounts with repeated valid notices will be disabled or terminated. 



    1. Payments, Payouts & Taxes

    10.1 Processing. All financial transactions are processed by third-party PCI-compliant payment providers. TLM does not store complete payment card data. 

    10.2 Independent Sellers. Creators act as independent sellers and are not employees or partners of TLM. 

    10.3 Taxes. Creators are solely responsible for reporting and paying all taxes due on earnings from the Platform. 

    10.4 Chargebacks & Fraud. Users accept responsibility for chargebacks. TLM may hold Tokens or payouts during fraud reviews. 

    10.5 AML/Compliance. TLM reserves the right to delay or withhold payouts to comply with anti-money laundering, sanctions, or fraud-prevention obligations. 



    1. Third-Party Services & Links

    11.1 External Services. The Platform may link to or integrate third-party services (e.g., video hosting, payment processors, travel tools). 

    11.2 Disclaimer. TLM does not control or endorse third-party services. 

    11.3 Separate Terms. Use of third-party services is governed by their own terms and conditions. 



    1. Privacy & Data

    12.1 Compliance. TLM processes personal data under the New Zealand Privacy Act 2020 and applies global standards (GDPR, UK DPA, CCPA equivalents). 

    12.2 Data Use. TLM may collect device data, cookies, usage logs, and verification documents. 

    12.3 Security. TLM applies industry-standard encryption and security protocols but does not guarantee absolute protection. 

    12.4 Privacy Contact. Users may contact privacy@thelivemodels.com for privacy-related requests. 



    1. Suspension & Termination

    13.1 Immediate Suspension. TLM may suspend, limit, or terminate a User’s account without prior notice if: 
    (a) the User violates these Terms; 
    (b) unlawful, fraudulent, or harmful activity is detected; 
    (c) account use risks community safety or Platform integrity; or 
    (d) suspension is required by law or regulatory request. 

    13.2 Preservation. TLM may preserve UGC or data where necessary for law enforcement, litigation, or compliance. 

    13.3 Effect of Termination. Upon termination: 
    (a) licenses and access rights immediately cease; 
    (b) Tokens and Wallet balances are revoked (except where legally refundable); 
    (c) Users remain liable for obligations incurred before termination; and 
    (d) clauses on intellectual property, disclaimers, liability, indemnification, arbitration, and survival remain binding. 

    13.4 Voluntary Closure. Users may close accounts at any time. TLM may retain data as required for compliance, fraud prevention, or disputes. 



    1. Disclaimers

    14.1 As-Is Service. The Platform is provided “as is” and “as available” without warranties of any kind. 

    14.2 No Guarantees. TLM does not warrant uninterrupted operation, uptime, or particular outcomes. 

    14.3 Earnings Disclaimer. TLM does not guarantee any earnings for Creators. 



    1. Limitation of Liability

    15.1 Exclusion. To the maximum extent permitted by law, TLM is not liable for indirect, incidental, punitive, or consequential damages. 

    15.2 Cap. TLM’s aggregate liability is capped at the greater of NZD $80 or the total amount paid by the User to TLM in the prior 30 days. 

    15.3 Mandatory Carve-Outs. This limitation does not exclude liability where prohibited by applicable consumer law. 



    1. Indemnification

    16.1 User Indemnity. Users agree to indemnify, defend, and hold harmless TLM and its affiliates against any claims, damages, or expenses arising from: 
    (a) their UGC; 
    (b) their use of Tokens or Wallet; 
    (c) their use of Meet/Travel features; or 
    (d) breach of these Terms. 



    1. Governing Law; Arbitration; Class-Action Waiver

    17.1 Governing Law. These Terms are governed by the laws of New Zealand

    17.2 Arbitration Agreement. Except for small-claims matters, disputes must be resolved by binding arbitration in New Zealand. 

    17.3 Individual Basis. Arbitration must be conducted on an individual basis only

    17.4 Class-Action Waiver. Users waive the right to participate in class, collective, or representative proceedings. 

    17.5 Small-Claims Option. Users may bring eligible claims in a New Zealand small-claims tribunal instead of arbitration. 

    17.6 Opt-Out. Users may opt out of arbitration by written notice to legal@thelivemodels.com within 30 days of account creation. 



    1. Export Controls & Sanctions

    18.1 Compliance. Users must not access the Platform from countries subject to NZ, US, EU, UK, or UN sanctions

    18.2 Feature Blocking. TLM may geofence or restrict features in Prohibited Jurisdictions. 



    1. Force Majeure

    19.1 Events Beyond Control. TLM is not liable for failures caused by events beyond reasonable control, including natural disasters, strikes, pandemics, or internet outages. 



    1. Miscellaneous

    20.1 Assignment. TLM may assign rights and obligations without restriction. Users may not assign without consent. 

    20.2 Severability. If any part is invalid, the remainder remains enforceable. 

    20.3 Waiver. Failure to enforce rights does not waive them. 

    20.4 Entire Agreement. These Terms (with Annexes & Policies) form the entire agreement. 

    20.5 Precedence. Formal Terms prevail over FAQs, marketing, or informal guidance.

    • Advertisements: promoted content, banners, or sponsored placements purchased using Tokens. 
    • Premium Memberships: subscription or Token-based access to enhanced Platform functions (e.g., advanced filters, faster messaging, higher limits). 
    • Other Paid Features: any feature identified in the Platform as Token-based or Premium. 

    22.2 Payment via Tokens. 
    (a) All paid features are purchased using Tokens only. 
    (b) Tokens used for Boosts, Ads, or Premium access are deducted at the time of request
    (c) Tokens are non-refundable once a feature has been delivered or activated. 

    22.3 Advertiser Responsibilities. 
    Users and Creators who purchase Ads or Boosts are solely responsible for: 
    (a) the accuracy, lawfulness, and non-deceptive nature of the advertised or boosted content; 
    (b) ensuring the content complies with the New Zealand Fair Trading Act 1986, the ASA Advertising Standards Code, and equivalent laws in their jurisdiction; 
    (c) ensuring no advertisement promotes or implies sexual services, trafficking, illegal activity, or prohibited content. 

    22.4 Platform Rights. 
    TLM may, at its sole discretion: 
    (a) review, approve, reject, or remove any advertisement, boost, or promoted content; 
    (b) label content as “Sponsored,” “Boosted,” or “Promoted” for transparency; 
    (c) suspend or terminate accounts that misuse advertising or paid features. 

    22.5 No Guarantee of Results. 
    (a) TLM makes no guarantees that any Boost, Advertisement, or Premium feature will result in increased views, earnings, engagement, or outcomes. 
    (b) Advertisements and Boosts are time-limited promotional placements, not guarantees of ranking or exposure. 

    22.6 Premium Membership. 
    (a) Premium Memberships may provide enhanced access (e.g., faster messaging, additional filters, priority support). 
    (b) Membership benefits are subject to change, and continued use constitutes acceptance of updated features. 
    (c) No refunds will be provided for partially used subscription periods, except where required by law. 

    22.7 Taxes. 
    Users and Creators are responsible for any taxes arising from the purchase or use of paid features. TLM does not provide tax advice. 

    22.8 Abuse & Fraud. 
    TLM may suspend accounts or revoke features if Boosts, Ads, or Premium functions are misused, fraudulent, or harmful to the community. 

    Annex A – Creator Addendum 

    A.1 Status. Creators are independent individuals, not employees, agents, or partners of TLM. 

    A.2 Verification. Creators must pass identity and age verification before monetizing content. 

    A.3 Earnings. 

    • Payouts are made via third-party processors only. 
    • Minimum payout thresholds and schedules are set by TLM. 
    • TLM may withhold payouts for fraud checks, chargebacks, or AML compliance. 

    A.4 Branding & Conduct. 

    • Creators may not use TLM branding without written permission. 
    • Creators must comply with content standards and not promote illegal services. 

    A.5 Taxes. Creators are solely responsible for declaring and paying applicable taxes. 

    A.6 Content Standards. Prohibited content includes: 

    • CSAM and exploitation; 
    • Non-consensual or hidden recordings; 
    • Incitement of violence or hate; 
    • Misleading, fraudulent, or infringing content. 

    Annex B – Token / Credit Policy 

    B.1 Nature. Tokens are platform access credits, not currency, e-money, or securities. 

    B.2 Expiry. Tokens may expire after 12 months of inactivity unless required by law. 

    B.3 Refunds. No refunds except: 

    • proven platform failure, or 
    • mandatory legal requirements. 

    B.4 Abuse & Fraud. 

    • Users may not resell or barter Tokens. 
    • TLM may suspend accounts for suspicious Token activity. 

    B.5 Non-Redeemable. Tokens have no cash value and cannot be exchanged off-platform. 

    Annex C – DMCA & Copyright Policy 

    C.1 Notice of Infringement. Rights holders may send notices to legal@thelivemodels.com. Notices must include: 

    • identification of copyrighted work, 
    • identification of infringing material, 
    • contact details, 
    • good-faith statement, 
    • signature. 

    C.2 Counter-Notice. Users may dispute removal by providing a valid counter-notice. 

    C.3 Repeat Infringers. Accounts with repeated valid takedown requests will be terminated. 

    Annex D – Verification (KYC / KYV) Policy 

    D.1 Purpose. Verification protects Users, prevents fraud, and ensures compliance. 

    D.2 Requirements. 

    • Age Verification: Government-issued ID + selfie check. 
    • Identity Verification: Full legal name, date of birth, and residence country. 
    • Payment Verification: Where payouts are requested, additional financial verification may apply. 

    D.3 Data Handling. Verification data is stored securely and may be shared only with authorized processors or regulators. 

    D.4 Refusal. Users who fail verification will lose access to monetization or high-risk features. 

    Annex E – Advertisements, Boosts & Premium Features Policy 

    This Annex forms part of the Terms of Service for The Live Models (TLM). By purchasing or using Advertisements, Boosts, Premium Memberships, or any other paid Token-based features, you agree to the following: 

    1. Definitions
    • Boosts: Temporary prioritization of your profile, image, or post in search results, listings, or discovery feeds. 
    • Advertisements (Ads): Promoted content, banners, or sponsored placements purchased using Tokens. 
    • Premium Memberships: Subscription or Token-based upgrades that unlock additional features (e.g., faster messaging, advanced filters). 
    • Paid Features: Any feature that requires Tokens or payment inside the Platform. 
    1. Purchase & Payment
    • All Paid Features are purchased using Tokens only. 
    • Tokens are deducted from your Wallet immediately when you request a Boost, Ad, or Premium upgrade. 
    • Once a feature has been delivered or activated, Tokens are non-refundable (except where legally required). 
    1. Responsibility for Ads & Boosts
    • You are solely responsible for the content you promote using Ads or Boosts. 
    • Your content must comply with: 
    • New Zealand Fair Trading Act 1986 (no misleading or deceptive conduct), 
    • Advertising Standards Authority (ASA) Code (responsible advertising, especially for 18+ content), 
    • Platform Rules (no sexual services, trafficking, or illegal activity). 
    • Misuse of Boosts or Ads may result in suspension or termination of your account. 
    1. Platform Rights
    • TLM may reject, remove, or restrict Ads, Boosts, or Premium features at its discretion, without refund, if they: 
    • violate these Terms, 
    • break NZ law or international advertising standards, or 
    • pose a risk to the community or TLM’s reputation. 
    • TLM may label promoted content with “Sponsored,” “Boosted,” or “Promoted.” 
    1. No Guarantee of Results
    • Boosts and Ads are promotional placements only
    • TLM does not guarantee views, followers, engagement, earnings, or any specific outcomes. 
    1. Premium Memberships
    • Premium Memberships may offer extra features such as faster messaging, advanced filters, or higher limits. 
    • Benefits may change over time. Continued use after changes constitutes acceptance. 
    • No refunds for unused portions of a subscription unless required by law. 
    1. Taxes
    • You are responsible for paying any taxes due on your Earnings , Ads, Boosts, or Premium purchases in your country. 
    1. Abuse & Fraud
    • TLM may suspend or terminate accounts that: 
    • misuse Ads or Boosts, 
    • engage in click fraud or fake promotion, 
    • or attempt to deceive Users.
